1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of the website and infrastructure services provided by SwiftLab Company Limited ("SwiftLab," "we," "us," or "our"). By accessing our website, requesting services, or entering into a service agreement with us, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

2. Services

SwiftLab provides enterprise-grade GPU servers, AI inference infrastructure, dedicated hosting, and blockchain validator node services. Specific service descriptions, deliverables, and performance commitments are defined in individual order forms, statements of work, or service level agreements ("SLAs") agreed upon between you and SwiftLab.

We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice, except where immediate action is required for security, legal compliance, or operational integrity.

3. Account Registration

Certain services require account registration. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account and must notify us promptly of any unauthorized access.

4. Acceptable Use

You agree not to use our services to:

  • Violate any applicable law, regulation, or third-party rights
  • Distribute malware, conduct unauthorized access, or engage in distributed denial-of-service attacks
  • Mine cryptocurrency or run workloads outside the scope of your agreed service plan without prior authorization
  • Interfere with or disrupt the integrity or performance of our infrastructure or other customers' services
  • Transmit content that is unlawful, harmful, or infringes intellectual property rights

We may suspend or terminate services immediately if we reasonably believe your use violates these Terms or poses a security or legal risk.

5. Service Levels and Uptime

Where an SLA applies to your services, uptime guarantees, response times, and remedies for downtime are specified in that agreement. Scheduled maintenance windows will be communicated in advance when possible. SwiftLab is not liable for downtime caused by factors outside our reasonable control, including force majeure events, third-party network failures, or customer-side misconfigurations.

6. Fees and Payment

Service fees are as quoted in your order form or proposal. Unless otherwise stated, fees are billed in advance and are non-refundable except as expressly provided in your SLA or required by law. Late payments may result in service suspension after reasonable notice. You are responsible for all applicable taxes.

We accept payment methods as specified in your agreement, which may include bank transfer and cryptocurrency where agreed upon.

7. Intellectual Property

All content, trademarks, software, and materials on our website and platform remain the property of SwiftLab or our licensors. You retain ownership of your data and workloads. By using our services, you grant us a limited license to host, process, and transmit your data solely to provide the services you have requested.

8. Confidentiality

Each party agrees to protect the other's confidential information disclosed in connection with the services and to use it only for the purposes of the engagement. This obligation survives termination of the relationship, subject to standard exceptions for publicly available information and disclosures required by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SwiftLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of our services.

Our total aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you to SwiftLab for the services giving rise to the claim during the twelve (12) months preceding the event.

10. Indemnification

You agree to indemnify and hold harmless SwiftLab, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, your content or workloads, or your violation of these Terms.

11. Termination

Either party may terminate services in accordance with the terms of the applicable service agreement. Upon termination, your access to services will cease and we may delete your data after a reasonable retention period, unless otherwise required by law or agreed in writing. Sections that by their nature should survive termination will remain in effect.

12. Governing Law

These Terms are governed by the laws of the Kingdom of Thailand, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Thailand, unless otherwise agreed in a signed service agreement.

13. Changes to Terms

We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
